Terms of Service

These Terms govern your access to and use of Momentum Terminal(the “Service”), operated by Momentum AI sp. z o.o. (“Momentum Terminal”, “we”, “us”). By accessing the Service you agree to these Terms. If you are agreeing on behalf of an organization, you represent that you are authorized to bind it.

1. The Service

Momentum Terminal is a company-intelligence terminal providing financial data, comparables, and transaction evidence sourced from public registries and filings. The Service is a tool to assist professional analysis; it is not investment, legal, tax, or accounting advice.

2. Accounts & teams

You are responsible for the activity under your account and for keeping your credentials secure. Team plans are licensed per seat; a seat may not be shared by multiple individuals. You must provide accurate information and promptly update it.

3. Acceptable use

You may not resell or redistribute the data except as expressly permitted; scrape, bulk- export, or build a competing dataset from the Service; circumvent access controls, rate limits, or seat limits; or use the Service unlawfully or to infringe others’ rights. See the Acceptable Use Policy.

4. Data accuracy: “as is”

The data is provided “as is” and “as available”, without warranties of any kind, express or implied, including accuracy, completeness, timeliness, or fitness for a particular purpose. We aggregate third-party and registry data and present each figure with its provenance, but we do not warrant that any figure is free from error or omission. You are responsible for independently verifying any figure before relying on it for a decision. This allocation of risk is a fundamental basis of the bargain and is reflected in the pricing.

5. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill. Our aggregate liability arising out of or relating to the Service is capped at the fees you paid in the twelve (12) months preceding the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited by law (including for death, personal injury, fraud, or willful misconduct).

6. Subscriptions, renewal & cancellation (EU)

Paid plans are billed in advance on a monthly or annual cycle and renew automatically for successive periods at the then-current price unless cancelled before the renewal date. You may cancel at any time via the billing portal; access continues until the end of the paid period. Fees already due are non-refundable except where required by law. EU/EEA consumers acting outside their trade may have a 14-day right of withdrawal; by starting use of the digital service during that period you acknowledge you may lose that right once the service has been fully provided. Applicable VAT is added at checkout.

7. Intellectual property

We retain all rights in the Service, software, and our compiled database. You retain rights in the content you create (lists, notes, theses). You grant us a limited licence to host and process your content to provide the Service.

8. Suspension & termination

We may suspend or terminate access for breach of these Terms, non-payment, or to comply with law. You may stop using the Service at any time and delete your account from the account settings.

9. Changes

We may update these Terms; material changes will be notified in-product or by email. Continued use after the effective date constitutes acceptance.

10. Governing law

These Terms are governed by the laws of the Republic of Poland, and disputes are subject to the competent courts of Poland, without prejudice to mandatory consumer-protection rights.
